Terms of Service
Effective February 21, 2026. This is a binding legal agreement. Read it.
The Agreement
These Terms constitute a legally binding agreement between you ("Client", "User", or "You") and Artyzn Labs, a design and technology studio operated in Nepal ("we", "us", "the Studio").
These Terms apply to all interactions with Artyzn Labs regardless of whether a separate project contract or statement of work ("SOW") is signed. In the event of conflict between a signed SOW and these Terms, the SOW prevails for the specific items addressed; these Terms govern all other matters.
Scope of Work
We provide web design, web development, branding, and related digital services as defined per individual project agreements. Specific deliverables, timelines, and fees are established in project-specific SOWs or quotes.
We reserve the right to refuse service, decline renewals, or terminate engagements at any time and for any reason, including but not limited to: ethical concerns, resource constraints, abusive conduct, or breach of these Terms. No compensation is owed for exercised refusals of future work.
We do not guarantee specific business outcomes, rankings, revenue, or ROI from any service delivered. Digital outcomes are influenced by factors entirely outside our control.
Fees & Payment
Our standard payment structure is as follows unless otherwise stated in writing:
- →50% deposit required before any work commences — non-refundable under all circumstances
- →Remaining balance due upon project completion or at agreed milestones before delivery
- →Invoices unpaid for 14+ days accrue interest at 2% per month (24% per annum)
- →Projects paused for more than 30 days due to client inaction may require a re-engagement fee
Withholding payment pending subjective creative dissatisfaction does not constitute a valid reason for non-payment. You agree that subjective preference does not override contractual obligations for work delivered per the agreed brief.
Your Responsibilities

- →Providing accurate, complete, and legal content, assets, and brand guidelines on time
- →Obtaining all necessary rights, licenses, and permissions for materials you supply
- →Responding to review requests within agreed timelines — delays caused by client inaction extend deadlines without penalty to us
- →Ensuring the project brief is accurate and complete before work commences — significant scope changes after work has begun will be treated as new work and quoted separately
- →Promptly reviewing and approving or providing substantive feedback at each milestone
If you supply illegal, defamatory, infringing, or fraudulent content for use in deliverables, you indemnify Artyzn Labs, its owners, and contractors against all resulting claims, losses, and legal costs in full.
Prohibited Conduct
⚠ Read carefullyThe following conduct is strictly prohibited and constitutes material breach, entitling us to immediate termination, full recovery of outstanding fees, and legal action:
Initiating a payment chargeback or dispute for services legitimately rendered. We maintain documentation of all work and will contest fraudulent chargebacks. Clients proven to have filed fraudulent chargebacks will be invoiced for the disputed amount plus a 50% administrative penalty plus all legal recovery costs.
Deliberately misrepresenting the project scope at the outset to secure a lower price, then expanding requirements after work commences as though included.
Using, distributing, or reproducing deliverables prior to full payment, or beyond the licensed scope defined in the SOW.
Misrepresenting your authority, company ownership, or financial capacity to enter into agreements with us.
Raising pretextual disputes designed to delay payment obligations or coerce preferential treatment.
Directly soliciting, hiring, or engaging any subcontractor or employee of Artyzn Labs introduced through project work, for a period of 24 months following project completion, without our written consent and a referral fee of 25% of the first year's contracted value.
Intellectual Property
Ownership of deliverables transfers to the Client only upon receipt of full and final payment. Until that time, all work product remains the exclusive property of Artyzn Labs.
- →Source code, design files, and assets become client property upon final payment — unless otherwise specified in the SOW
- →We retain the right to display all completed work in our portfolio, case studies, and marketing materials unless explicitly waived in writing
- →Third-party assets (fonts, stock imagery, plugins) remain subject to their respective licenses — we are not liable for licensing violations arising from client misuse
- →Our proprietary frameworks, tooling, and internal libraries remain our exclusive property and are licensed (not transferred) to you
Limitation of Liability
⚠ Read carefullyTO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARTYZN LABS'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR ANY SERVICES PROVIDED SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO US IN THE 90-DAY PERIOD PRECEDING THE CLAIM, CAPPED AT NPR 50,000.
We are not liable for:
- ✕Indirect, special, incidental, punitive, or consequential damages of any kind
- ✕Loss of revenue, profit, data, goodwill, or business opportunity
- ✕Damages arising from third-party platform changes, hosting outages, or software vulnerabilities
- ✕Errors or omissions in client-supplied content, data, or instructions
- ✕Delays or failures caused by circumstances beyond our reasonable control (force majeure)
- ✕Performance of your website or digital product in relation to search engine algorithms or platform policies that change post-delivery
No Warranties
Services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that deliverables will be error-free, uninterrupted, or meet your specific subjective expectations beyond what is defined in the agreed brief. Post-delivery bugs and issues are addressed as per the support terms defined in each project's SOW.
Confidentiality
Both parties agree to hold in strict confidence any proprietary, business-sensitive, or non-public information shared during the engagement ("Confidential Information"), and not to disclose it to any third party without prior written consent.
Confidentiality obligations survive termination of the engagement for a period of 3 years. Portfolio display rights are explicitly excluded from confidentiality restrictions unless a signed NDA specifically addresses this.
Ending the Engagement
Either party may terminate the engagement with 14 days written notice. Upon termination:
- →All work completed to date is invoiced and payment is immediately due
- →The deposit is non-refundable regardless of the reason for termination
- →Deliverables are only released upon full settlement of outstanding balances
- →Termination by us due to client breach forfeits all deposits and advance payments with no obligation for further delivery
Jurisdiction & Disputes
These Terms are governed by and construed in accordance with the laws of Nepal. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts of Kathmandu, Nepal.
Before initiating legal proceedings, both parties agree to make a good-faith attempt to resolve disputes through written negotiation for a minimum of 30 days. Mediation may be pursued where mutually agreed. Legal costs incurred by Artyzn Labs in successfully defending against a frivolous or bad-faith claim shall be recoverable from the claimant.
Good Faith Obligation
Both parties enter this agreement in good faith. Any attempt to exploit technical provisions of these Terms to circumvent their reasonable intent — including but not limited to: structured payments to avoid milestone triggers, artificial project scope manipulation, or technical compliance used as a shield for bad-faith behaviour — constitutes a violation of the spirit of this agreement and entitles us to treat such conduct as material breach.
We build long-term relationships. We expect clients to deal with us honestly, communicate problems early, and honour commitments. In return, we commit to transparent communication, honest timelines, and high-quality work.
Modifications
We may update these Terms at any time. Changes take effect upon publication on this page. Continued engagement with our services after a change constitutes acceptance. We recommend reviewing this page periodically.
